1. Acceptance
By accessing this website or engaging Microconcept services, you agree to these Terms of Service. If you do not agree, do not use the website or services.
2. Services
Microconcept provides AI consulting and engineering services including strategy, design, development, integration, and support. Detailed scope, deliverables, fees, and timelines are governed by executed statements of work or service agreements.
3. Client Responsibilities
- You warrant that information and instructions you provide are accurate and lawful.
- You are responsible for obtaining rights and consents for data provided to us.
- You must not use the services for unlawful, harmful, or deceptive activity.
4. AI Use and Risk Management
AI outputs may be probabilistic and can contain inaccuracies. You remain responsible for reviewing and approving outputs before operational, legal, financial, or safety-critical use. We recommend human oversight, testing, and risk controls proportionate to use case impact.
5. Confidentiality
Each party must keep confidential information secure and use it only for the agreed purpose. This obligation survives termination. Specific confidentiality terms may be expanded in a separate NDA or master services agreement.
6. Intellectual Property
Pre-existing intellectual property remains with its original owner. Ownership and licensing of project-specific deliverables will be set out in the governing commercial agreement. Unless agreed otherwise, Microconcept retains rights to its underlying methods, tools, accelerators, and know-how.
7. Security
We apply security practices aligned with modern enterprise expectations, including access controls, encryption, monitoring, and incident response. For regulated customers, additional controls can be agreed contractually, including APRA CPS 234 aligned obligations where relevant.
8. Warranties and Liability
Services are provided using reasonable care and skill. Except as required by law, website content and materials are provided on an "as is" basis. To the extent permitted by law, each party excludes indirect or consequential loss and limits liability in line with the governing contract.
9. Termination
Either party may terminate for material breach not remedied within a reasonable cure period, or as set out in the applicable agreement. On termination, each party will return or destroy confidential information as required by contract and law.
10. Governing Law
These terms are governed by the laws of New South Wales, Australia, unless otherwise agreed in writing.
